Upon using services provided by us. you agree to each of the terms and conditions set forth here in as followed .

Quality
we always adhere to the excellent quality of electronic components, put an end to all fake and shoddy products.
All of the components are shipped to our Quality Testing Center where they are inspected and their provenance verified (BY our 200x magnification  and Acetone Verification Testing, etc), before entering inventory and being shipped to the end-customers.

PRICE 
Prices stated at the time of quotation are subject to reconfirmation upon receipt of the Customer’s Purchase Order.

PAYMENT TERMS 
For new customers payment terms must be confirmed prior to formal acceptance of Purchase Order by Seller.

SHORTAGES, ERRORS OR DAMAGED PRODUCT 
All packages should be opened and inspected immediately upon receipt.  Claims of shortages, errors, or damage must be made in writing to Seller within 15 days after receipt by Buyer. 
A return authorization number issued by Seller for damaged product is required prior to return. Any product returned by Buyer, without a return authorization number, will be returned by Seller to Buyer freight collect. Claims for loss or damage in transit must be made by Buyer, directly to the carrier. All returns may be subject to a restocking fee. 

Force Majeure
We will not be liable for delays in delivery or for failure to perform its obligations due to causes beyond its reasonable control including, but not limited to, product allocations, material shortages, labor disputes, transportation delays, unforeseen circumstances, acts of God, acts or omissions of other parties, acts or omissions of civil or military authorities, Government priorities, fires, strikes, floods, severe weather conditions, computer interruptions, terrorism, epidemics, quarantine restrictions, riots or war .our time for delivery or performance will be extended by the period of such delay or we may, at its option, cancel any order or remaining part thereof, without liability, by giving notice to you.
 
Limitation of liability
In no event shall We be liable to you or to any third party for any indirect, incidental, special, consequential, punitive or exemplary damages (including without limitation lost profits, lost savings, or loss of business opportunity) arising out of or relating to any product, even if we has been advised of the possibility of such damages. subject to the foregoing, in no event shall the liability of us relating in any way to any product exceed the purchase price for the product, regardless of the legal theory asserted for such liability, whether in contract, tort, warranty or otherwise. you acknowledge that the amounts payable for the products are based in part on these limitations, and you further agree that these limitations shall apply notwithstanding any failure of essential purpose of any limited remedy.
 
Export Term of Use
The products sold by us are not intended for, you agree that they will not be used in, life support systems, human implantation, nuclear facilities or systems or any other application where product failure could lead to loss of life or catastrophic property damage. Buyer certifies that it will be the recipient of Products to be delivered by Seller. Buyer acknowledges that the Products are subject to the export and/or import control laws and regulations of various countries including the Export Administration Laws and Regulations of the United States. Buyer agrees to comply strictly with all U.S. export laws and assume sole responsibility for obtaining licenses to export or re-export as may be required and acknowledges that it shall not directly or indirectly export any Products to any country to which such export or transmission is restricted or prohibited. Products sold by Seller cannot be transferred, sold or re-exported to any party on the Entity List or Restricted Person List of the U.S. Department of Commerce, Bureau of Industry and Security (BIS), any party designated by the U.S. Treasury Department’s Office of Foreign Assets Control, and any party debarred or sanctioned for proliferation or terrorism reasons by the U.S. State Department. Products sold by Seller are not designed, intended or authorized for use in life support, life sustaining, nuclear, or other applications in which the failure of such Products could reasonably be expected to result in personal injury, loss of life or catastrophic property damage. If you breach this agreement, you agree to indemnify us for and hold our harmless against any loss, cost or damage to us which arises or results from such breach.(1) Buyer acknowledges that such use or sale is at Buyer's sole risk; (2) Buyer agrees that Seller and the manufacturer of the Products are not liable, in whole or in part, for any claim or damage arising from such use; and (3) Buyer agrees to indemnify, defend and hold Seller and the manufacturer of the Products harmless from and against any and all claims, damages, losses, costs, expenses and liabilities arising out of or in connection with such use or sale.

ACCEPTANCE IN USE 
Seller's ability to ship is subject to availability of product. Any terms in Buyer's purchase order inconsistent with the terms hereof shall be void notwithstanding Seller's failure to object to such inconsistent terms. Any provisions in Buyer's purchase order that are in addition to those expressed herein will not be deemed accepted unless Seller, by a separate writing, agrees to the same. Mere delivery of product may not be construed as Seller's acceptance of such additional terms.  Seller's failure or inability to deliver merchandise as requested shall not subject Seller to any liability for costs, expenses, or actual indirect, special or consequential damages incurred or suffered by Buyer, including but not limited to lost business or profits, whether or not foreseeable.
